Name Details

Does the name of the company require approval by the Registry or other authorities?

Yes.

Two names.

Are there any restrictions or limitations on words that can be used in company names?

Yes. Cannot use the word “ASEAN” or “ASIAN” or “TRUST”.

Address Details

Does the company need to provide a registered address?

Yes.

Are there any limitations on the registered address (i.e. must be in-country, must not be a PO box)

Must be in the country of incorporation and not a PO Box. Also must have a house registration number (as per Thai law).

If the client has no physical location in-country, can they use your address for the purposes of registration?

Officer Details

How many Directors are required?

One.

Are any other officers required (i.e. Secretary)?

Yes.  An Auditor.

What personal details will you need for each officer?

Name, Nationality, Address, Occupation, copy of passport, and each officer will need to sign a appointment form (known as Form Kor).

Is there a requirement for any in country resident directors?

No. But if any document is signed outside of Thailand by the non-resident director, the document needs to be notarised by Thai embassy in the country where the document is being signed.

 

Do you need proof of address or Identity for officers? If YES, in what format?

Yes. House Registration Book and copy of ID card or passport

Shareholders

How many shareholders are required?

Three.

Are there any restrictions on who can be a shareholder?

Yes, there are a number of restrictions in place.

What information will you require about shareholder?

Name, Nationality, Address, Occupation

Will you require proof of address or ID from the shareholders?

Yes . For example passport copy.

Share Capital

Will the company need to specify a maximum number of shares that can be issued?

Yes.

Is there a minimum number of shares that must be issued?

Three shares.

Is any stamp duty paid on the issued share capital? If YES, at what rate is this calculated.

Procedure

Step 1: Name reservation which can take 2 to 4 days; (in the meantime, preparation of all the incorporation documents which must contain details and address of directors and shareholders, address, financial year, auditor, registered capital, objectives of the company is dealt with)

Step 2: File the memorandum of association; 7 days wait period.

Step 3: File all the incorporation documents and the company is set up on the date of filing.
