Directors’ Duties in the Republic of Ireland

In Ireland, the duties and responsibilities of directors are codified by the Companies Act 2014. The Companies Act gives statutory recognition to the current common law and equitable principles regarding directors’ duties, ensuring greater clarity for directors. This also includes de facto and shadow directors. Furthermore, under the Act there is no distinction made between executive and non-executive Directors.
