Does the name of the company require approval by the Registry or other authorities?
A company’s name must be checked before the Inspec?ion General de Justicia (“IGJ”).

Are there any restrictions or limitations on words that can be used in company names?
If the word Argentina is used, it is assumed that this would give the impression of the company being part of a multinational group. Therefore, proof would have to be submitted to demonstrate that it would be part of a multinational group.
Does the company need to provide a registered address?
Are there any limitations on the registered address (i.e. must be in-country, must not be a PO box)
Assuming that the entity is to be registered before the IGJ, in this case the legal domicile has to be within the city of Buenos Aires. A PO box is not an option.
How many Directors are required?
Minimum of one for entities with a social capital of less than AR$ 10,000,000.
Minimum of three for entities with a social capital of AR$ 10,000,000 or more.
Are any other officers required (i.e. Secretary)?
For entities with a social capital of more than AR$ 10.000.000 it is mandatory to have a syndic. This is optional for entities with a lesser social capital. If a syndic is appointed an alternate director will not be required to be appointed.
What personal details will you need for each officer?
Name, ID number, nationality, date of birth, marital status, residential address, occupation, if he is relative or close friend with a politician or a civil servant.
Is there a requirement for any in country resident directors?
The majority of directors must live in Argentina.
Do you need proof of address or Identity for officers? If YES, in what format?
A copy passport of the director should be provided.
How many shareholders are required?
Minimum of two.
Please note that in this case of only two shareholders the minority must hold at least 5% of the social capital.
We have entities of only one shareholder but this entities are expensive because it will need 3 directors, a syndic and it its treated as a big entity so the Public Register of Commerce requires more
Are there any restrictions on who can be a shareholder?
There are limitations on shareholders which are existing Argentinean entities.

Natural Born Persons: Name, ID number, nationality, date of birth, marital status, residential address, occupation
Corporate Entities: incorporation information, including name, registration number, country of incorporation and similar. In this case we will have to inform if there is an individual owning, directly or indirectly, more than 20pc of the capital of the local entity. If there is an individual we will need her name, DOB, passport number and country of issuance, real domicile, address, profession and pc of ownership

Will the company need to specify a maximum number of shares that can be issued?
There is no maximum

It is possible to pay an additional fee to reduce the timescale for registration.
